The G43Twins-FullHD from ASRock is a great choice for an upgrade board. This LGA775 board supports both DDR2 and DDR3 memory so you can use your DDR2 memory to start and when you need more speed then you can switch the memory out for DDR3. The G43 chipset supports Core 2 Quad and Core 2 Extreme processors as well as Core 2 Duo with 1333/1600 FSB.
The motherboard has everything you would expect. It has 6 SATA ports plus 2 eSATA ports (shared with internal ports) for drives and an ATA133 header for legacy drives. There are 6xUSB ports on the back panel and 2 headers for 4 more ports. There is a 7.1 channel audio system with analog and SPDIF ports.
The G43 chipset comes with an Intel GMA X4500 graphics subsystem. This advanced system supports Pixel Shader 4.0 and DX10. The board comes bundled with a DVI/DisplayPort card so you can take advantage of the benefits of a digital connection.
Pros: Built a budget system using this board with an Intel E5200 Pentium Dual Core and 4GB of Corsair DDR2 800 memory. Everything went together great and booted up properly the first time. This combination also makes a great, energy efficient system (doesn't heat up the room or jack up the energy bill--only 46 watts idle, with no video card). This is my second ASRock board, the other has run nice and stable for years, so I expect the same from this. The onboard video is actually pretty decent (as long as you have reasonable expectations...it is just onboard after all). In my experience, over the past 5-6 years, onboard audio is usually quite poor, this is the first board I've owned where I didn't have the urge to install a discrete sound card. The board seems well built, is a good value for the price, and I'm a fan of the G43 chipset so far (on this board, my E5200 crushed the averages of the other E5200 on cpubenchmark's site, and even beat out the average E7200 scores).
Cons: The front USB connections on my Antec mini tower aren't putting out enough power for external hard drives to run. Not sure if this is an issue with the USB headers on this board, or the case itself. The rear USB ports work great with everything though. Overall, this is a minor criticism considering how well everything else on this board works.
Other Thoughts: The BIOS seems pretty robust if you're into overclocking (I'm not), but I can't speak from experience as to how well this board overclocks. Great board if you just want a stable, solid budget build.

Pros: Low price for a 2.0 x16 slot, and ddr3 ram compatible.
Cons: This thing CANNOT overclock, overclockers stay away. I put ram and the exxact same e8400 that I took to 4.2 ghz on an asus board, and it crashed after 345 every single time. cannot get over 3.1 ghz!

Pros: Great features for the price. DDR3 and Quad support.
Cons: I really loved this motherboard until it hit exactly the two month mark. It suddenly won't display video. The system boots, all fans run, I can hear the HDD running, but no video is displayed. I tried DVI, VGA, a second monitor, taking out the video card and using on-board, resetting CMOS; nothing will make it work.
Too late for a return and ASRock wants $35 to repair. It got two stars because for the two months it worked, it was flawless. Live and learn, I suppose. I won't be buying ASRock as a replacement for this board.
Other Thoughts: System is: Q8400 Core2Quad WD Blue 500GB 7,200 RPM 4GB OCZ DDR3 PNY 9800GT Linux Mint 7

Pros: Simple to install not too much to configure out of the box. Comes with 6 SATAII connections (already using 4).
Cons: On-board NIC doesn't support jumbo frames at 9k... only 7k (at least in Debian and Ubuntu). Will be ordering another NIC to overcome this. Detected DDR2 800 memory as 667 so I had to manually change it in the BIOS.
Other Thoughts: Used this as the base for a cheap file server at home paired with a Celeron E3200. HD Video obviously wasn't needed for my setup so I can't comment on it.
Had to download the driver source for Linux for NIC to see that it only supports 6k jumbo frames (Debian/Ubuntu allowed MTU 7200).
