what is the spacing on the mounting holes?

The physical dimension of this fan is 90x90 square. Converted into inches it is 3.54x3.54. This is a typical size fan that you would find on an HP desktop for instance. You will have to approximate the distance between the holes in each corner because I have already mounted mine in someone else's computer that I don't have handy right this moment. Hope this helps.

Which way would you mount this fan to use it as an exhaust fan?

When in doubt, simply connect the fan to the motherboard while the computer is shutdown, powerup, and feel with your hand which side feels air blowing onto your hand (you do not even need to mount the fan to do this if you're careful). If using for exhaust, mount with this side facing towards the case to blow outward. For intake, reverse to suck air in. This may not be the answer you expected to get, but it's fool-proof.
