it is home premium (32 bit) the software was preloaded on the machine when I fired it up.didnt even need to open up the package .and activation key was on the top of the computer case !

Does the macchine have PCI slots?

It has a PCI, and a PCI express x16.  It has another slot that looks like a PCI but has an extension.  I can't figure out what it is.  It's not AGP or PCI-X

What physical COA is stuck on the machine? Windows 7 32 or the refurbisher license?

When I bought this in Dec 2013, Win 7 32-bit was installed.  There was a disc inside the shrink-wrap around the case with the license key, which worked fine when I fired up the machine.  FYI the case interior was immaculate, and it appeared and sounded like the fan was new.  Downside was the very cheap keyboard, but everything worked.

Dell OptiPlex 380 Dual Core 2.68 GHz. Can the 2 GB RAM be upgraded to 4 RAM or 6RAM?

No wireless card installed. However you can purchase a USB wireless network adaptor. Simple way to connect wirelessly.

I received keyboard, power cord, mouse, power cord and  copy of windows 7 which was installed on the computer.  The pc was larger than I expected but it is much faster than the OptiPlex 270 with XP that I replaced.

is this a mini tower or desktop????

As advertised, this is an upright minitower.  It is not small and narrow, because the DVD disc player sits horizontally in the case (not sideways like some tiny cases).  It is about 16 inches tall and about 7.5 inches wide.  There are three external drive bays.  FYI mine worked perfectly and came shrink wrapped.  I could not distinguish it from new.  Even the fan blades were spotless.

can i install a r/w dvd/cd player from my older dell into this pc?

You have to make sure that the drive you are installing is a SATA DVD/CD device not an IDE. The IDE will have a 40 pin connector with a 4 pin power connector.

The CD drive in this machine is a SATA drive. The SATA drive will have a 7 pin power connector that is relatively flat and a data cable that is just as flat and has 15 pins. Noticably different from an IDE cable. So if the one in your older machine is an IDE it is not a good idea to use it.

If I put a 64-bit OS on it, could I use more than 4GB?

Windows 7 home premium 32 bit can use 4G of system RAM max. Windows 7 Professional 64 bit can use up to 16G of system RAM. First, 
Find out about the specs of the Motherboard, processor and all devices used in the system to make sure they are all compatible with a 64 bit OS. You may not be able to install it.
