How loud is it?  Would it be suitable as a HTPC?

I do not know what HTPC mean, but let me tell you, I ordered two of this machine, one for my wife and one for me. Both PC are on top of the separate desktop, pushed to a corner, my wife use two monitors, and the one I use has 3 monitors. She never has said anything about noise, and for me, the noise is just enough to know the machine is working.

Is the memory expandable? If so, how much?

Yes, there are four DIMM slots. Mine came with 2 x 2 GB sticks of SK Hynix DDR3, but YMMV. Intel's specs say the i5-3470S supports up to 32 GB.

Question 3

I'm wanting to use this as a HTPC. Is there already a HDMI out or would I have to install a GPU? Is there room/capable of upgrading GPU?

Sadly I am not sure. The first in I was sent was boat anchor. Damaged ports, case unopenable, no power cord, keyboard or mouse. Took multi calls to get it returned and have not yet received a replacement. Original ordered first week Nov and took a week to get return labels. I don't believe there was a hdmi but I believe there is a picture of the back on the link and a output list in specs. Best to you.
