Is this a CD or just download? I'm looking for an inexpensive way to create invoices & packing lists that I can access without having to be on the Internet.

This is a web based program so you have to be connected to use it. You will receive a box with an activation code inside, from there you use that activation code to set up your quickbooks online account through a browser interface.
