How is installed? Do I need to replace the heatsink as well, or will I be able to replace only the fan?

The heatsink is already with the fan (that's the metal structure the fan is attached to). Just carefully remove your previous one off your CPU, and re-attach this new one. You will need some Thermal Compound if you don't have any.
