is this a download? how quickly can i get the product key?

Microsoft OEM products are always shipped product.  Shipment includes the DVD plus the Certificate of Authenticity sticker that is to be placed on the computer.

Time to receive product takes 3-5 days depending upon shipping method.

I'm building a Terminal Server that will host RDP connections for our company.  This product says 1-4 CPUs. Does that mean physical cpu dies or cores?  Also, it states 5 CAL's.  Are these device CALs with unlimited users or are these user CALs?

Physical CPUs and 5 user or device cals.  Not unlimited.  Plus you need separate licenses for RDP>

I have 3 physical servers machine need to install windows 2008, do i need to have separate Media CD for each server or just 3 different keys. Or how many machine can install per Key ?

You can have just one media disc for each server, but you will need 3 separate keys for each server. The CAL's are just seat licenses for your clients.

Question 4

Does the standard version allow for an Enterprise install? If yes, will this product license the 1 physical and the 4 virtual machines like the Enterprise version?

I have not attempted this myself.
According to an article on microsoft technet you can upgrade from standard edition to enterprise with the correct enterprise license key.
[You will have to google for windows 2008 standard to enterprise as they do not allow us to post links.]  That seems to indicate there is little difference between the versions other than their resource limits (Ram limits).  
That article will at least show you how to do a plan B.  Install standard and run the upgrade to the license.
I can not answer the 1 physical and 4 virtual machine question, but if the license allows that it should work.

how do you get the License Keys for the 5 included CALs?  it comes with a piece of paper that says you have 5 CALS and you fill in how many are user and how many device but doesn't tell you what to do with it.  there are no product keys for the CALS

Cals are not input into the system.  The 5 user cal just means that you're allowed that many users, and you're expected to buy more cals if you go over.

Can I upgrade existing Server 2003 with this OEM version?

This OEM version is a full version, not an upgrade.  Typically, an OS 'upgrade' is never as good as a full 'from scratch' load.

Depending on your hardware age and specs, it may be more costly to attempt an upgrade as opposed to a new build.  If the existing hardware is fairly new, (e.g. less than 2-3 years) it "should" install/run, although you may spend more time than it's worth if the system resources aren't up to snuff or only meet the minimum req's.

From my experience, I've never had full success trying to perform an OS upgrade.  I've always lost a bunch of something... (data, settings, my mind)

Ridiculously redundant data backups will save your sanity.  Cloning software of some kind is freak-tasticly helpful.  (I use Acronis)

Is the content downloadable, or is this just a delivery?

This part number is the license with physical media.  There are other part numbers for just the licenses.  I am not sure if NewEgg sells the downloadable media version; that is normally with the open licenses.

I need a server 2008 r2 product key to add a third virtual server to my hyper-v enabled machine.  I have already loaded the OS from the ISO I have of server 2008 r2 standard, and now I need to activate the product.  Will this version provide me with the necessary license to activate the product?

Yes, I expect it would.  I would be very surprised if it did not.  Just be sure to go get all the drivers from Lenovo, especially for the RAID if your using it.
