Will this cool a prescott 3.4 1Mb Cache?

It will if your case ventilation is adequate.  I had slightly better results with the stock Intel copper core cooler(2c cooler), but the Rosewill is far quieter.
As you may already know the G0 stepping sl8q4 will run cooler under full load than a previous stepping (such as an sl7pp) but the sl7pp will idle cooler than the sl8q4.  My results were with the sl7pp.

did you need to use any grease?

Comes with a heat sink compound pad attached. Additional heat sink grease is optional. There was some from a previously installed cooler which was still fresh. Cools well. The best Socket 478 cooler I've come across. Very quiet.
