Pros:
Extremely quiet for a non-35 watt processor. The fan is barely audible. The PC is about 18 inches from my face and I can only *barely* hear it in a completely silent room. In fact, the sound of me typing this out is at least 8x louder than the fan.
HD 3000 in an HTPC (and budget) friendly processor. I would strongly recommend this over the 2100 and 2120 since they come with the far less capable HD 2000.

No cons.
Overall Review:
I haven't got a chance to really get this thing burned in yet, but so far its been running cool and quiet all day long.
