Hi!  Can the 3.0 GHZ opteron AMD processor work in any desktop motherboard like an old hp motherboard?  is it better and faster than a AMD Athlon X2 5000 dual core?  I read that these outperform intel in some cases

The Opteron CPUs generally use different sockets from the Athlon (or other consumer-grade) CPUs. In this case, the Opteron 4334 uses a C32, where the Athlon X2 5000 uses the AM2 socket.

The two sockets (and the CPUs that operate in them) are NOT interchangeable.

On the other hand, beware even comparing server CPUs (Opteron/Xeon) to desktop CPUs, as their structure and purpose are very different.
 - a server CPU is designed to handle services more quickly, at the expense of the "desktop experience"
 - a desktop CPU is designed to provide the best possible "desktop experience", even at the expense of services or other background processes

So your answer is NO - It won't even fit into the same socket, and NO, you don't even want to consider a server CPU to replace your desktop.

Does this CPU come with a stock cooling fan?

No, this is OEM packaging, and includes just the processor. You will need to purchase a cooler for this - any AMD socket 939 or newer will work as the mounting pitch is the same.

A very economical solution with acceptable noise levels for a server/data center environment is the Rosewill RCX-Z1.

If you are in a home environment, or small office, where noise is a concern a lower noise cooler might be the way to go.
