does it come with a bracket?

Yes it does, plastic (insulated) and has 4 installed nutplates that also serve as bushings. Bracket mounts on the back of the board. If you look at the main picture on Newegg you can see the bracket underneath. Not sure why they didn't show it separate. PS: I had to go look at this to make sure I installed it, which is a good indicator that I had no problems with it or I would have remembered... I always remember the bad stuff. Simple install, works well (6 month 24/7 running), mid-level noise as fans go. I prefer ones with copper heatsink but this was for a system I don't clock up high, inexpensive keeps a old 3.6Ghz quad core at around 50C.

does it come with thermal paste?

Yes it does, on the bottom of the heat sink.I usually rub it off with rubbing alcohol and apply my own onto the processor.
