if its the same socket that more than likely yes if not you need a new motherboard.

What is its relation to a 32 bit or 64 bit system?

This is a 64-bit processor, as are almost all modern day processors that you can buy.  The only thing about a machine that determines if it is a 64 or 32-bit system is the processor, so this processor will be the foundation of a 64-bit machine, which means it can make use of more RAM, and can run programs (like Windows) that are designed for 64-bit processors..

Would this work with a MSI Z68A-G43 (G3) straight out of the box? Some of the CPUs, I have read, require a Sandy Bridge and BIOS update first.

the motherboard model MSI is not available on sites but it being the z68A-g43 is socket LGA 155 can go with core i3- 2100 because that's a socket 155.
