Yes, this is a consumer package and it comes with a heatsink, fan and thermal adhesive.  It has everything you need to install it on your motherboard.

As a general rule:
Pentium = 2 cores, no HT (2 threads)
Core i3 = 2 cores, w/HT (4 threads)
Core i5 = 4 cores, no HT (4 threads)
Core i7 = 4 cores, w/HT (8 threads)

This processor obeys the rule; it is a 4 core cpu with no hyperthreading.

What are the differences between an Intel Core i5-4570 and Intel Core i5-4570S?

The 4570 is clocked at a higher cpu than the 4570S (3.2GHz vs 2.9GHz) but draws more power (84W vs 65W). I chose the 4570S because I didn't think the extra 300MHz would make a difference in my games since they're mostly bottlenecked by GPU anyway. And the lower wattage meant it would run cooler which is good for the components' lifespan.

A Core 2 Duo E8400 uses Socket LGA 775.  Therefore, if you're only talking about upgrading JUST the CPU, then you MUST find a CPU that uses the same socket.  Your current CPU is pretty much at the top of the speed range for this socket.  You could get a bit more crunch power if you went to a quad core, but the increased performance probably isn't worth the cost and the effort.

If the old E8400 just isn't cutting it, then you might consider motherboard and CPU upgrade, but then coming from LGA 775 you'd probably get frustrated with  legacy hardware that doesn't take advantage of the newer architecture.

If you just want a CPU upgrade, I'd look on ebay for what you want.  There are also many affordable workstations that come off leases from time to time that have a LOT of power.

In short - if I understand your question correctly - you CAN NOT drop a Haswell CPU onto an LGA 775 motherboard.

Hi Josh, yes to both. First, any motherboard with the LGA 1150 socket will work. The motherboard you referenced uses the Z87 chipset which is still the highest performance desktop chipset offered by Intel. I have been using this processor with an ASROCK motherboard for the last 7 months (since the 4th generation release; it's been great!). If used for gaming, I recommend using a discrete graphics card rather than using onboard graphics.
