no this does not come with a heatsink or fan. If you are up grading to this processor the heat sink and fan you already have will work.

I Would double check all available information before you buy. This CPU is listed as an aftermarket compatible with several Dell products that are also LGA755 and for some reason are not compatible.
As yours is a HP product and they tend to be less Brand specific in their upgradeability you should be ok. Keep in mind your MOBO will support up to the Intel® Pentium® 4 Processor 640. This is 2M Cache, 3.20 GHz, 800 MHz FSB and 64 bit.
 For a basic upgrade the D820 is not a bad start.

ATX refers to one of the types of motherboard it fits, but the  motherboard must have a CPU socket  775 and be able to run the 2.8 ghz without issues.  Look up the number on the motherboard to find out what is compatible if your not replacing with original equivalent CPU
