No, this is a full version of Windows 10 Pro 64-bit, so an existing installation of a previous version of Windows is not required. However, it is intended as an OEM pre-installation for system builders and the license transfers Windows support to the OEM builder.  It installed successfully for me on a custom build assembled from various hardware components made by unrelated vendors, such as Radeon video card, Gigabyte motherboard, Samsung SSD, and G.SKILL memory.

Having already installed, this is a full version which you can use as either an upgrade or fresh install. I used it as a fresh install, which took about 1hr. It comes as a DVD in OEM packaging. (No pretty box, just a sleeve).

Can this software be loaded on a computer that does not have any previous Windows loaded on it?

Never tried from a new machine, but Ill assume what I did was close enough.

The machine I'm upgraded was running a unregistered Win 8.1 Pro (used it on another machine, leaving this one unregistered pretty recently), booting it up gave me the option to upgrade to it (full)

Professional is the best and be joined to a domain. .Their is a .32 bit version and a .64 bit . If you have at least 4GB of ram use the .64 bit install. Also the free version from Microsoft is only a upgrade based on what you on running on your PC now. if you have Windows 7 Pro on your machine you will upgrade to a Pro version. If you have a home version you will upgrade to windows 10 home version and not be able to join a domain if you are setting up a network. Windows 10 Full Edition is not the upgrade. This is the full clean install which is the best to do. You will need to back up all of you old Hard drive because it will be wiped out. Or just get a new drive for you full install.

Does oem disk come with a product key?

Yes just like the retail version of Windows 10, this OEM version has a product key
The difference between them is the OEM is meant for system builders. 
So OEM version is just the installation disc, product key, and sticker with the same key. 
Where the retail version has a step by step manual and windows tech support that only applies with installation help and if your not sure about a new feature of windows. 
Otherwise the support of the OS from windows is the same with OEM and retail.

I have 3 computers that I use, can I install one windows 10 on all 3 computers?

No you cannot. This is a single OEM serial number. Once you install this OS on a computer, it will record the motherboard that is being used for that computer. If you try to install the same serial number on additional computers, the serial will no longer be valid and you may be contacted by Microsoft.

In addition, because this is an OEM disc, getting product support will be solely your responsibility. You may have to pay extra to get consumer support through Dell or whichever manufacturer provided the disc. I would not recommend this product to non-system builders.

Is this a CD with Key to install on a new or reformatted HDD WITHOUT THE UPGRADE for a home user? - Not a builders CD...

No its not a CD. But rather a USB drive you use to boot from to install windows. This will do what is called a clean install which does not require upgrading. It will delete everything on the drive and only install everything for Windows 10. Upgrading tends to leave fragments of the old OS behind which takes up more space on the hard drive and can cause compatability issues. It comes with its own product key. This is meant for computers that are either to old to install the free windows 10 upgrade or new built computers with no previous operating system.

OEM is an acronym for Original Equipment manufacturer. If you are building a new system, then this is the correct edition of Windows to purchase.

If you already have a running system, with either Windows 7 or Windows 8 installed, then Microsoft should offer you a free upgrade to Windows 10(the upgrade icon shows up in the task bar).
