does this come with the cooling part?

Nope.  Just the chip.  I reused the existing cooling fan system on my computer.  I carefully cleaned off the old conductive grease (thermal compound) and put on a pea-sized dab of new silver conductive grease (purchased separately) before reattaching the existing cooling fan system. I used the trick of rubbing alcohol on a paper filter for brewing coffee -- the paper filter doesn't leave any paper particle residues behind.  The fan does need to actually work and make very good thermal connection to the chip.

Will this work on a ASUS commando motherboard?

Nice motherboard.  I have no real idea if the two are compatible or not, even though it will fit because both are LGA 775 socket types.  Since the motherboard is manufactured by Intel, if I were you I would contact Intel support to be sure.
