Does this CPU come with a heat sink and fan?

Yes.  most, if not all, processors come with a stock cooler. But you would be crazy to purchase this high end a processor without a little extra investment in a better one.  It really is a very basic and minimal cooler that comes with it.  If you expect to do ANYTHING with it like overclock or such you must go bigger! I went with a water cooler personally.  Can't expect big things without a big cooler.  Reasonable after market air cooler might run you 40 to 50.

Does this replace my mother board and update my computer?

Due respect, your question makes me a bit nervous.  You should consider consulting with someone who has built their system part by part before you buy anything.
The Intel CPU chip mentioned here is only one of several components that you will (in all likelihood) have to update.  Most probably, you will also have to buy a new, CPU socket-compatible (there are many different socket-types) motherboard, and new, motherboard-compatible memory (RAM).  You might even need to replace your graphics card, though that seems less likely. You may find that the new motherboard no longer has slots for older add-in cards (sound, videocature, RAID controller, etc.) so you'll need to be aware of that to avoid surprises ("Hey! where am I supposed to plug *this* in?").  All in all, you need to do a little homework before you plunk down hundreds of dollars for a new part...you may find you need to plunk down a thousand more to use it.

A cooler is included, but it is not a premium cooler.  I picked up a cooler master for around $50.

A premium chip deserves a premium cooler.

There is some already on the stock heat sink included. There is not any extra however. Personally I would recommend some arctic silver. Also with a coprocessor this high end especially the K series the primary reason to buy it is to overclock it and get more speed. For this I would suggest a Crosair H80i or H100i ,water cooler or High end air cooler. Other wise buy the i5, save 30%, only loose about 5-10% performance and drop the extra money on an SSD gain 100%-300% in HD speeds, suggest a Samsung EVO you will see better performance over all for less money.

I run this with a Corsair H80i overclocked to 4.4 GHz. If I was going to stay around 3.5 which a stock cooler requires. Like  I said would just get next model down and drop the money someplace else SSD or video card you will over all be happier, if money is the issue, if money is not a problem get a  water cooler, some arctic silver , and overclock the snot out of it. Mine is lightning fast, make sure you get an SSD, Crucial, Samsung, Intel are my favorites.

Does this processor come with thermal paste, or should I order some as well?

No, there was no thermal paste in my Intel 4770K box. As others mentioned, thermal paste is already applied between the stock heatsink and CPU. So if you plan to use the stock heatsink & fan currently, there's no need to purchase additional thermal paste. If you plan to upgrade your CPU heatsink in order to OC the CPU, you may want to check whether there's thermal paste included in the new heatsink box. As I know, enthusiastic gamers will purchase thermal paste separately to OC better since you can not expect too much on "free" thermal paste.

It does include a basic CPU heat sink with fan.  I am sure it works just fine, but it you plan on over clocking or running intensive apps a lot, you may want to get a better cooling system.  Personally I like 'closed loop' liquid cooling systems.

what is best motherboard for this processor?

Hi Richard!  That's a loaded question.  I don't think there is such a thing as a "best" motherboard.  It comes down to your needs and the build you're planning.  This CPU goes into a LGA 1150 socket so look for that.  You can't go wrong with Asus/MSI/Gigabyte.  I'm giving the ASRock Extreme9/ac a shot because the feature set has the best balance of what I was looking for.  I'm not familiar with any other makers out there.  If you are looking to do extreme overclocking the Asus ROG series are very good, although they all pretty much make great OC boards.

Consider things like size, expansion slots, internal/external connections.  Do you need premium sound, WI-FI, dual LAN, Thunderbolt? ...Just to name a few.

Be advise that size can even be tricky.  I've seen boards labeled ATX that are slightly bigger than the standard 9.6"x12" standard, somewhere between ATX and EATX.  This might be an issue when selecting a case.  Also, as with my ASRock board, it is ATX but one of connectors on the bottom edge is sideways as opposed to perpendicular to the board like with every other connector.  There could be an interference issue between the cable and the PSU so make sure you have adequate clearance for cable management all around when selecting your board and the case it's going into.

Narrow down your search as much as you can based on your needs and try to find a review somewhere on the internet of the baords you like.  Also, visit the manufacturer's website before you buy.  I like to download the users manual to get familiar with the product, check out their utility/driver download page and how user friendly is their tech support.

PS:  Be advised you need a PSU that's Haswell compliant since Intel introduced some new power requirements.  You didn't as but I thought I'd tell.  Not sure if it'll work with a non-compliant PSU but it's better to be safe than sorry.

It comes with the stock Intel fan that sits over the aluminum heatsink.  It uses 4 screws that go into the motherboard.  You can do a google search for Intel I7 cpu cooler and get plenty of images.

What is the best Liquid cooling system for this Cpu?

"Best" is extremely subjective, and will depend on a variety of factors, including your budget, available space, and design parameters (often expressed in performance versus noise). That said, any reputable boxed solution will work just fine at 3.5GHz, and likely at least a bit beyond. Trying to reach the CPU's speed limit would probably justify a custom built solution, though.
